Terms of Service

Plain English, short sections. Effective September 3, 2026.

These terms are an agreement between you and the operator of PennyClose at https://pennyclose.com ("we", "us"). By using the site you accept them. If you are using PennyClose for a client or an employer, you confirm you are allowed to accept them on that organisation's behalf.

1. The service

PennyClose converts bank and credit-card statement PDFs into a transaction grid you can review, and exports that grid as Excel (.xlsx), CSV, QuickBooks Web Connect (.qbo), Xero bank-import CSV, OFX, QFX and QIF files. Every format is built from the same grid under the same rules. Every statement is checked against the opening and closing balances printed on it, and the result of that check is shown to you before you download anything.

Statements are processed in memory and never written to disk. A PDF with no text layer is read with OCR software running on our own server, in memory, and is then held to the same balance check. Statements are not used for training, and no third-party AI or OCR service is in the processing path. Nothing is stored on our side: there is no workspace and no library of client files on this server. If you need a file again, convert the PDF again; a re-download of a statement that already tied, in the same month, does not count twice. The Privacy Policy describes exactly what we do and do not keep.

2. Your account

The free preview needs no account. To download, you sign in with a link sent to your email address (a magic link). There is no password. Anyone who can read your email can sign in as you, so keep that mailbox secure and tell us at ville@pennyclose.com if you think someone else has used your account.

You must be at least 18 and give us a working email address. One person per account; a Bookkeeper plan may be used by one bookkeeper across many clients, not shared between several bookkeepers.

3. Acceptable use

Only upload statements that are yours or that you are authorised to process for someone else, for example as their bookkeeper or accountant. Do not use the service for anything unlawful, do not try to reach parts of the system that are not offered to you, and do not load it in ways designed to disrupt it for other people. We may refuse or stop service for misuse.

4. Plans, billing and cancellation

Anyone can convert a statement and see the balance proof and review notes for free, without an account. After email sign-in, your first download is free so you can test the QuickBooks import. The one thing that costs money is downloads after that.

Payments are handled by Dodo Payments, our merchant of record: they are the legal seller of record on your receipt and card statement, and they collect any sales tax or VAT that applies. Your card details go to Dodo Payments, never to our servers. Prices are in US dollars and exclude any tax that applies where you are.

5. Page allowances

Solo includes 500 statement pages per month. Bookkeeper has no page cap, under fair use: it is for the bookkeeping work of one firm and its own clients, not for resale, for sharing one login across several firms, or for automated bulk processing. If usage sits far outside normal bookkeeping volume we will contact you about a custom plan first; we never cut off a paid month in progress. A page is one page of an uploaded PDF, counted when you download. Unused pages do not roll over to the next month. A purchased one-month pass keeps its full allowance for all 30 days; we never expire it early. If you regularly need more, email us before you hit the limit and we will find a sensible arrangement.

6. The balance proof and accuracy

PennyClose shows you whether a statement ties: whether the transactions it extracted, applied to the printed opening balance, arrive at the printed closing balance. If they do not, the result says so and points to the first row where the chain breaks. A statement with no printed closing balance to compare against is never shown as tied.

You review the grid. You can edit rows before exporting, and the exports are built from the grid exactly as you send it. That makes the grid you approve, not the PDF, the source of the file you download.

We are not an accountant, and nothing on this site is accounting, bookkeeping or tax advice. You remain responsible for what you import into your books, how you categorise it, and any filing built on it. The tie-out is strong evidence that the numbers were read correctly; it is not a substitute for your review.

7. Availability

We aim to keep the site available at all times but do not promise uninterrupted service. We may take it down briefly for maintenance and will try to do so outside US business hours. If a paid feature is unavailable for a material part of a month you paid for, email us and we will credit or refund that period.

8. Intellectual property

The site, the parser and the export formats we generate are ours or our licensors'. Your statements and the files we build from them are yours; we claim no rights in them and keep no copies. You may not copy, resell or reverse-engineer the service. QuickBooks is a trademark of Intuit Inc.; we are not affiliated with Intuit.

9. Disclaimer of warranties

The service is provided "as is" and "as available". Apart from the promises written on this site, we make no warranty of any kind, express or implied, including fitness for a particular purpose. We do not warrant that every statement layout will be supported or that the service will be error-free.

10. Limitation of liability

To the extent the law allows, PennyClose is not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data or the cost of substitute services, arising from your use of the service. Our total liability for any claim is capped at the fees you paid us in the twelve months before the claim arose. Some jurisdictions do not allow these limits; where that is the case, they apply to the extent permitted.

11. Indemnity

If a third party brings a claim against us because you uploaded statements you were not authorised to process, or otherwise broke these terms, you agree to cover the reasonable costs and damages that result.

12. Termination

You can stop using the service at any time and can ask us to delete your account by email. We may suspend or close an account for a breach of these terms, with notice where practical. Closing an account does not affect a refund you are entitled to under section 4. Sections 6, 8, 9, 10 and 11 survive termination.

13. Governing law

These terms are governed by the laws of the jurisdiction where PennyClose's operator is established, as stated on your payment receipt, without regard to conflict-of-law rules. Any dispute will be brought in the courts there, unless the law where you live gives you the right to bring it elsewhere.

14. Changes to these terms

If we change these terms in a way that matters, we will update the effective date at the top and email account holders at least 14 days before the change takes effect. Continuing to use the service after that date means you accept the new terms. Previous versions are available on request.
